These Terms of Service ("Terms") govern your access to and use of the PromoCreators platform and website operated by GUTU VADIM PERSOANĂ FIZICĂ AUTORIZATĂ, registered in Romania under registration number 1910128410069, having its registered address at Str. Castanilor nr.5 bl.C2 sc.A et.2 ap.42, Mun. Vaslui, Jud. VS, România ("PromoCreators", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms.
You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent that you are of legal age and have the authority to enter into a binding contract. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
To use most features of the Service, you must create an account. You agree to:
PromoCreators is a creator campaign management platform that helps brands create and manage creator campaigns and helps creators discover and participate in those campaigns. The platform facilitates:
PromoCreators provides campaign management tools, submission tracking, validation, and reporting. PromoCreators is not a financial services provider, money transfer service, or payment institution.
PromoCreators uses per-campaign pricing. There is no monthly subscription fee. When a Brand funds a campaign, PromoCreators charges a platform service fee of 20% on top of the campaign budget. All amounts are denominated in US Dollars (USD).
Example: a Brand funds a campaign with a $500 campaign budget. A $100 platform service fee (20%) is added. The total amount charged to the Brand is $600. The $500 campaign budget is used for approved campaign activity according to campaign rules.
The platform service fee is non-refundable once a campaign has been launched, except where required by applicable law.
Creators use the platform free of charge. PromoCreators deducts a creator service fee of 10% from approved creator earnings. For example, if approved creator earnings from a campaign total $100, the creator service fee is $10, and the creator receives $90.
Creator service fees are non-refundable once creator earnings have been approved.
Brand campaign budgets and platform service fees are charged at the time of campaign funding. All charges are in USD and are made to the payment method provided at checkout.
Creator earnings become payable only after campaign activity is approved according to campaign rules and any applicable review period has passed. PromoCreators may apply a review period before creator earnings become payable. Creator earnings are processed monthly, provided the creator's available balance reaches a minimum threshold of $100. Balances below $100 are carried forward to the following month. PromoCreators reserves the right to delay, suspend, or reverse creator earnings if campaign activity is found to be fraudulent, duplicated, or in violation of campaign rules or these Terms.
Unused campaign balance may be refunded upon written request to support@promocreators.net, provided the funds have not been spent, reserved, committed, or connected to approved campaign activity. Refunds, where applicable, are issued in USD to the original payment method.
The platform service fee is non-refundable once a campaign has been launched, except where required by applicable law.
Approved campaign results and approved creator earnings are non-refundable. For the full refund policy, see the Refund Policy.
You agree not to use the Service to:
Violation of these prohibitions may result in immediate account termination without refund.
You retain ownership of content you create and submit through the Service. By posting content, you grant PromoCreators a non-exclusive, worldwide, royalty-free license to use, display, and reproduce that content solely to operate the Service.
The PromoCreators name, logo, and platform are the intellectual property of GUTU VADIM PERSOANĂ FIZICĂ AUTORIZATĂ. You may not use them without prior written permission.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROMOCREATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless GUTU VADIM PERSOANĂ FIZICĂ AUTORIZATĂ from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.
Either party may terminate this agreement at any time. PromoCreators may suspend or terminate your account for violations of these Terms, fraudulent activity, or non-payment. Upon termination, your right to use the Service ceases immediately. Sections 7–13 survive termination.
These Terms are governed by the laws of Romania, without regard to conflict of law principles. Any dispute arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Vaslui, Romania. If you are a consumer within the European Union, you may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
We may update these Terms from time to time. We will notify you of material changes at least 14 days before they take effect by email or prominent notice on the Service. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
